Frequently Asked Questions

What is the process of forming a limited company?

The process includes choosing a compliant company name, preparing legal documents (Memorandum and Articles of Association), and registering the company with Companies House. VAT registration with HMRC may also be required.

How long does it take to form a limited company?

In most cases, formation can be completed within 24–48 hours once all required information is provided.

Can I choose any name for my limited company?

No. Company names must meet Companies House rules. Some names are restricted or too similar to existing companies. We check and confirm name availability before registration.

What documents are required for company formation?

This includes the Memorandum and Articles of Association, director and shareholder details, and a registered office address. We prepare and submit everything on your behalf.

Do I need a business bank account?

While not legally required, a business bank account is strongly recommended. It helps keep finances separate and simplifies accounting and compliance. We guide you through the setup process.

Company Confirmation Statement – UK Digital Filing Service

At Sanderson, we provide a simple and reliable Company Confirmation Statement filing service for UK limited companies.

Your Confirmation Statement must be filed once every year. It was previously known as the Annual Return and is also referred to as the CS01 submission.

Filing your Confirmation Statement accurately and on time is a legal requirement. If it is not submitted, your company may face penalties, prosecution, or be struck off the register by Companies House.

What Is a Confirmation Statement?

A Confirmation Statement confirms that the information held by Companies House about your company is correct and up to date, or reports any changes made during the year.

Companies House must be notified of:

  • Changes to your registered office address
  • Changes to Directors or Secretaries
  • Updates to correspondence or residential addresses
  • Changes to business activities
  • Changes to issued share capital
  • Changes to share ownership
  • Changes to people with significant control (PSC)
How Sanderson Can Help

Our Confirmation Statement filing service is designed to make the process quick and stress-free.

  • We prepare and file your Confirmation Statement accurately
  • Most statements are submitted within 3 business days
  • We help you recover missing Companies House authentication codes if needed
  • If your statement is overdue, we can liaise with Companies House on your behalf to help resolve the issue
When is my confirmation statement due?

Your Confirmation Statement is due 12 months after your company’s incorporation date or 12 months after your last filed Confirmation Statement. You then have 14 days to submit it.

How long can a confirmation statement be overdue?

It is considered overdue if it is not filed within 14 days after the end of the 12-month review period.

What happens if incorrect information is filed?

If an error is discovered, it should be corrected as soon as possible by re-submitting the Confirmation Statement using the relevant sections of form CS01.

What is the confirmation statement review period?

The review period is the timeframe covered by the Confirmation Statement. It starts on the incorporation date or the day after the last Confirmation Statement was filed and ends on the next due date.
